The module comprises the following two courses:
Company valuation:
Financial fundamentals (investment accounting, capital theory, decision theory, portfolio selection, capital market theory), Fundamentals of business valuation (development, central idea, reasons for valuation), Individual marginal price determination (reproduction and liquidation value, capitalized earnings value method), Market-oriented marginal price determination (DCF method, real options), Conflict-related business valuation (two and more person conflict).
Corporate governance:
Fundamentals (concepts, basic issues, regulatory interests, economic and corporate order), Capitalist enterprise (legal foundations, empirical findings, approaches to justification, connective institutions), Managerial enterprise (capital owners vs. managers, theories of managerial rule, empirical findings, alternative control mechanisms), Co-determined enterprise (legal foundations, empirical findings, approaches to justification, problems and perspectives), Comparative corporate governance, Accounting and auditing as a sub-area of corporate governance
Qualification Goals
The main aim of the module is to provide students with sound theoretical and practical knowledge in the areas of company valuation and corporate governance. After completing the module, students will be able to
- recognize and understand the origins and limitations of existing concepts for the valuation and governance of companies in order to develop their own further developments on this basis if necessary,
- combine theory and practice and
- apply the specialist knowledge they have acquired critically and responsibly in a wide range of positions within the field of accounting and finance with regard to the possibilities and limitations of current concepts and content.
