Unternehmensbewertung:

Finanzwirtschaftliche Grundlagen (Investitionsrechnung, Kapitaltheorie, Entscheidungstheorie, Portfolio-Selection, Kapitalmarkttheorie), Grundlagen der Unternehmensbewertung (Entwicklung, Leitidee, Bewertungsanlässe), Individuelle Grenzpreisermittlung (Reproduktions- und Liquidationswert, Ertragswertverfahren), Marktorientierte Grenzpreisermittlung (DCF-Methode, Realoptionen), Konfliktbezogene Unternehmensbewertung (Zwei- und Mehr-Personen-Konflikt)

Corporate Governance:

Grundlagen (Begriffe, Grundfragen, ordnungsrelevante Interessen, Wirtschafts- und Unternehmensordnung), Kapitalistische Unternehmung (Rechtliche Grundlagen, empirische Befunde, Begründungsansätze, Konnexinstitute), Manager­unternehmung (Kapitaleigner vs. Manager, Theorien der Managerherrschaft, empirische Befunde, alternative Kontrollmechanismen), Mitbestimmte Unternehmung (Rechtliche Grundlagen, empirische Befunde, Begründungsansätze, Probleme und Perspektiven), Comparative Corporate Governance, Rechnungslegung und Prüfungswesen als Teilbereich der Corporate Governance

Das wesentliche Ziel des Moduls liegt in der Vermittlung von fundierten theoretischen, zugleich aber auch praktisch nutzbaren Kenntnissen aus den Bereichen der Unternehmensbewertung und Corporate Governance. Studierende sind nach Abschluss des Moduls in der Lage,

  • die Herkunft und Grenzen bestehender Konzepte zur Bewertung und Governance von Unternehmen zu erkennen und zu verstehen, um auf dieser Grundlage ggf. zu eigenen Fortentwicklungen zu gelangen,
  • Theorie und Praxis zu verbinden und
  • in verschiedensten Positionen innerhalb des Bereichs „Accounting and Finance“ das erlangte Fachwissen in Bezug auf die Möglichkeiten und Grenzen der gängigen Konzepte und Inhalte kritisch und zugleich verantwortungsvoll einzusetzen.
